Terms of service
Last updated: 9 October 2026 · Version 2.0
These terms are the agreement between you and us for the use of Recall. Please read them. They explain, among other things, how prepaid credit and refunds work, the right of withdrawal you have if you are a consumer, and the limits on our liability towards business customers.
1. Who we are and how these terms apply
Recall is provided by Smidt Beheer, trading as Recall ("Recall", "we", "us"), Binnendelta 11M, 1261 WZ Blaricum, the Netherlands, Chamber of Commerce (KvK) 99124254, VAT NL004444074B96, support@recallmem.dev.
These terms apply to the website recallmem.dev, the dashboard at app.recallmem.dev, the API and MCP server at api.recallmem.dev, and the SDKs, CLI, plugins and integrations we publish (together "the service"). They apply as soon as you create an account, use an API key, connect an MCP client or buy credit. If you use Recall for an organisation, you accept these terms on its behalf and confirm that you may do so; "you" then means that organisation.
Our data processing agreement (DPA) is part of these terms and applies automatically to the personal data in the content you send us. Our privacy policy explains how we handle personal data as a controller. We do not accept other general terms, such as your purchasing conditions, unless we agree to them in writing.
2. Who may use Recall
- Recall is made for businesses and developers. You may also use it as a consumer: a private individual acting for purposes outside your trade, business, craft or profession. "Business customer" in these terms means every customer who is not a consumer.
- If you are a consumer, you keep every right that consumer law gives you and that cannot be excluded by contract. Nothing in these terms takes those rights away.
- You must be at least 16. If you are under 18, you need permission from a parent or guardian to buy credit.
- You may not use Recall where sanctions law that applies to you or to us forbids it.
3. The service
Recall stores the messages and files you send and builds memory from them with AI models: facts with their sources, peer cards and summaries, which your agents can search and ask questions about. The docs describe the current features. We may improve, change or remove features. If a change significantly reduces what you have paid for, we tell you in advance, and you may stop and get your unused purchased credit refunded (section 9).
4. Your account and API keys
- Give us a working email address and keep it up to date. We send important notices there.
- Keep your API keys, sign-in links and connected MCP clients secure. Anyone with your key can use your account and spend your credit. Revoke a key in the dashboard at once if you think it has leaked, and tell us if you suspect misuse of your account.
- You are responsible for what happens under your account and keys, including use by people you invite and by the agents and apps you connect, unless it is caused by our failure to secure the service.
- Do not create several accounts to get more welcome credit.
- Accounts that we set up for you under a separate arrangement may be free of charge or billed differently. These terms apply to them, except where that arrangement says otherwise.
5. Your content
- "Your content" is everything you or your software send to Recall (messages, files, names and metadata), the memory Recall derives from it (facts, peer cards, summaries and embeddings), and the answers Recall gives you.
- You keep all rights in your content. We claim no ownership of it, and no rights in the answers generated for you.
- You give us a non-exclusive, worldwide, royalty-free licence to store, copy, process, transmit and display your content, and to let our sub-processors do so, only as far as needed to provide, secure and support the service for you and to comply with the law. The licence ends when the content is deleted, except for copies the law requires us to keep.
- We do not use your content to train AI models, sell it or use it for advertising. We look at it only when that is needed to give support you ask for, to investigate abuse or a security incident, or to comply with the law.
- You are responsible for your content and for having the right to send it. When it contains personal data, you are the controller and we are your processor under the DPA. You must have a lawful basis for the processing, inform the people concerned as Articles 13 and 14 of the GDPR require (including that their data is processed by an AI memory service and the model providers it uses), and respect their rights.
- Recall is not a backup or archive service. Keep your own copy of content you cannot afford to lose.
6. Acceptable use
You must not use Recall, or let anyone else use it, to:
- break the law, or store or process content that is illegal or that infringes intellectual property, privacy or other rights;
- process special categories of personal data (such as data about health, religion, sexual orientation, or biometric or genetic data) or data about criminal convictions, unless you have a lawful basis and the safeguards the law requires, including a data protection impact assessment where one is required;
- process personal data of children under the age at which they can consent themselves (16 in the Netherlands) without the consent of a parent or guardian or another lawful basis;
- build or run an AI practice that the EU AI Act prohibits (Article 5), such as manipulating people in harmful ways, exploiting their vulnerabilities, social scoring, or inferring the emotions of people at work or in education other than for medical or safety reasons;
- use Recall in a high-risk AI system as defined by the EU AI Act (for example for decisions about employment, credit, education, access to essential services, law enforcement or migration) without our prior written agreement;
- let people interact with an AI system without telling them, where the AI Act or other law requires you to;
- harass, deceive or defraud people, or send spam;
- attack, probe or overload the service or its users, for example with malware, denial of service or vulnerability scanning, except security research that follows our security policy;
- get around rate limits, spending caps, billing or welcome-credit limits, or use another customer's account or keys;
- copy, decompile or reverse engineer our software, except where the law expressly allows it.
We may investigate suspected breaches and take the measures in section 12.
7. AI output
- Recall's memory and answers are produced by AI models. They can be wrong, incomplete, out of date or biased, and can attribute a statement to the wrong person. Check anything important before you rely on it.
- Do not use Recall's output as the only basis for decisions that have legal or similarly significant effects on people. You are responsible for how you and your agents use the output, and for telling your users that they are dealing with AI where the law requires it.
8. Prepaid credit, prices and payment
- Prepaid credit. Recall is paid with prepaid credit in US dollars. Usage is deducted from your balance as it happens, at the prices on our pricing page at that moment. Learning from messages is charged per million message tokens, with a minimum per message; chat is charged per query, by reasoning level. Context, search, storage, summaries and background consolidation (the "night shift") are currently included at no extra charge.
- Taxes. Prices exclude VAT and other taxes. Where VAT applies, Stripe Checkout adds it and shows the total before you pay. Business customers can enter a VAT number at Checkout; VAT is then handled as the law requires, for example under the reverse-charge rule.
- Top-ups. You buy credit with a top-up, currently between $10 and $1,000 each, paid through Stripe. Each top-up is a separate purchase with its own invoice. The credit is added as soon as the payment is confirmed. When you buy credit, you ask us to make it available immediately (see section 10 if you are a consumer).
- Auto top-up. Auto top-up is optional. When you switch it on, you authorise us and Stripe to charge the card you saved at Checkout, without you being present, for the amount you chose, each time your balance falls below the threshold you set, until you switch it off. Your bank may ask you to confirm a payment. Each automatic top-up is invoiced. If a charge fails, we try again later; after three failures in a row we switch auto top-up off and email you. You can change it or switch it off in the dashboard at any time.
- When your balance runs out. Messages you send are still stored, but learning and chat pause until you top up. Usage that was already running when your balance reached zero is still charged, so your balance can go slightly below zero; the next top-up covers that. You can also set a monthly spending cap.
- No expiry. Purchased credit does not expire while your account is open.
- Welcome credit. New self-serve accounts may receive free welcome credit (currently $5). It is limited (for example one per network per 30 days, a daily total, and none for disposable email addresses), has no cash value, and cannot be refunded or transferred. We may take back welcome credit obtained through abuse, and may change or end the offer at any time.
- Price changes. We may change our prices. We announce increases at least 30 days in advance, by email to account owners and on the pricing page; they apply only to usage after that date. If you do not agree, you may stop using Recall and get your unused purchased credit refunded (section 9). Price decreases may apply immediately.
- Payment problems. If a payment is reversed or charged back, we may remove the related credit and suspend your account until the matter is resolved.
9. Refunds
Credit you have bought is not refundable, except in these cases, in which we refund your unused purchased credit:
- you are a consumer and withdraw from a top-up within 14 days (section 10);
- you are a consumer and close your account: you can ask us for a refund of your unused purchased credit;
- we stop offering Recall, or end your agreement without it being caused by your breach of these terms;
- you end the agreement before a change to these terms, the DPA, our prices or our sub-processors takes effect, because you do not accept it, or because a change significantly reduces the service;
- the law requires a refund.
To work out what is unused, we count your usage first against free welcome credit and then against your top-ups in the order you bought them. We refund the price you paid for the unused credit, including the VAT on it, to the original payment method within 14 days of your request, without charging fees. The refunded credit is then removed from your balance. Please ask for a refund before you delete your account: deleting it also deletes our record of your balance.
10. Right of withdrawal for consumers
If you are a consumer, you may withdraw from each purchase of credit (each top-up, including an automatic top-up) within 14 days without giving a reason. The withdrawal period ends 14 days after the day of the purchase.
When you buy credit, you ask us to make it available immediately, so that you can use it during the withdrawal period. You keep your right of withdrawal for the credit you have not used. If you withdraw, you pay for the credit you used before you withdrew, which is the proportionate amount for what we provided, and we refund the rest.
How to withdraw. Send us a clear statement that you withdraw, by email to support@recallmem.dev (preferably from the email address of your account) or by post to the address in section 1. For example: "I withdraw from my top-up of $25 on 1 October 2026." You may use the model form below, but you do not have to. You meet the deadline if you send your statement before the withdrawal period ends.
What happens next. We refund the price you paid for the unused credit of that top-up, including VAT, without undue delay and at the latest 14 days after we receive your withdrawal. We use the same payment method you used, unless you expressly agree otherwise, and you pay no fees for the refund. Section 9 explains how we work out the unused credit. The refunded credit is removed from your balance.
Model withdrawal form
(Complete and return this form only if you wish to withdraw from the contract.)
- To: Smidt Beheer, trading as Recall, Binnendelta 11M, 1261 WZ Blaricum, the Netherlands, support@recallmem.dev
- I hereby give notice that I withdraw from my contract for the provision of the following service: Recall credit top-up of [amount] (invoice number, if known: [number])
- Ordered on: [date]
- Name of consumer: [name]
- Address of consumer: [address]
- Email address of the Recall account: [email]
- Signature of consumer (only if this form is sent on paper): [signature]
- Date: [date]
11. Availability and support
- We work to keep Recall available and fast, but we do not promise any particular availability or response time, or that the service will be free of errors or interruptions. There is no service level agreement (SLA) unless we agree one in writing.
- We may interrupt the service for maintenance or security, and it can be affected by outages at our providers. We try to keep interruptions short and to announce planned maintenance where we reasonably can.
- Support is by email at support@recallmem.dev. We aim to answer within two working days.
- If we decide to stop offering Recall, we tell you at least 30 days in advance so you can export your data, and we refund your unused purchased credit.
12. Suspension and termination
By you. You can stop using Recall at any time. The account owner can delete the account in the dashboard (Settings); this erases it at once (section 14). There is no notice period.
Suspension by us. We may suspend or restrict your account or API keys, or remove or disable access to specific content, if:
- you seriously or repeatedly breach these terms, or we have good reason to suspect so;
- your use puts the security, integrity or availability of the service, other customers or third parties at risk;
- a payment fails, is reversed or charged back, or a negative balance is not settled;
- we receive a notice of illegal content that we find well-founded (section 13), or a court, an authority or the law requires it.
We limit the measure to what is necessary and lift it when the reason is gone.
Termination by us. We may end the agreement if you seriously or repeatedly breach these terms and do not remedy the breach within a reasonable period we give you, or immediately if remedy is impossible or the breach is serious, or if continuing would make us break the law. We may also stop offering Recall to everyone, as described in section 11.
Statement of reasons. When we restrict content, your account or your access to the service, we tell you by email, at the latest when the measure takes effect, what we did and why: the facts, the legal or contractual ground, and whether automated means were involved. We also tell you how to object. You can object by replying to that email or writing to support@recallmem.dev; a person reviews your objection and tells you the outcome. You can also go to court. We do not give a statement of reasons where the law or an order from an authority forbids it.
Your data after termination. If you delete your account, we erase your content at once. If we end the agreement, you can export your data for at least 30 days from our notice, unless the law or serious abuse prevents it, and we delete all your content within 30 days after the agreement ends. We keep only what the law requires us to keep, such as invoices.
13. Contact point and reporting illegal content
Recall is a hosting service under the EU Digital Services Act (DSA): we store content on behalf of our customers. That content is private to the customer's account and is not published by us.
Single point of contact. Authorities of the EU member states, the European Commission and the European Board for Digital Services (Article 11 DSA), and users of the service (Article 12 DSA), can reach us at support@recallmem.dev. You can write to us in English or Dutch. Messages are read and answered by a person.
How to report illegal content. If you believe Recall stores illegal content, email support@recallmem.dev with "Illegal content notice" in the subject. Please include:
- why you believe the content is illegal, with enough detail for us to assess it;
- where the content is, as precisely as you can. Content in Recall is not public, so tell us what you know, for example the app or service that uses Recall, account, workspace or session identifiers, or the API address involved;
- your name and email address (not required if the notice concerns child sexual abuse material);
- a statement that you believe in good faith that the information and claims in your notice are accurate and complete.
We confirm that we received your notice, decide on it carefully, objectively and without undue delay, and tell you our decision and how you can challenge it. Notices are handled by a person, not by automated means.
How we moderate. We do not monitor or review customer content in general. We act on notices, on orders from authorities, and on what we find when we investigate abuse or a security incident. Decisions are taken by a person. The measures we can take are removing or disabling access to specific content, suspending API keys, and suspending or closing an account (section 12). If we become aware of information that gives rise to a suspicion of a criminal offence involving a threat to someone's life or safety, we inform the competent authorities.
14. Leaving Recall and moving your data
- You can stop using Recall and close your account at any time, with no notice period and no charge for leaving or for exporting your data.
- Account owners and admins can export the account's data at any time from the dashboard as a machine-readable JSON file: account details, workspaces, peers, sessions, messages, facts (conclusions) with their sources, peer cards, summaries, webhook settings, usage and credit history. Secrets (API keys and their hashes), embedding vectors and search indexes are not exported: they are security data, or derived data that another system can compute again. You can also read all your content through the API.
- If you are moving to another provider or to your own systems, we give reasonable help on request, and we keep your account available for up to 30 days while you move.
- When you delete your account, all of its data is erased (section 12).
15. Our intellectual property and feedback
- The service, its software, the website, the documentation and the Recall name and logo belong to us or our licensors. While your account is open we give you a limited, non-exclusive, non-transferable right to use the service under these terms.
- Some SDKs, plugins and integrations are published under an open-source licence. For that code, the licence that comes with it applies.
- If you send us ideas or suggestions, we may use them freely, without any obligation to you.
16. Confidentiality
Each of us keeps the other's non-public information that it receives under this agreement confidential, if it is marked as confidential or is clearly confidential by nature. This includes your content and our non-public technical and business information. Each of us uses such information only for this agreement and shares it only with people and providers who need it and are bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, was already known to it, was developed independently, or was lawfully received from someone else. Disclosure required by law or a court order is allowed; where the law permits, the party concerned is told first.
17. Warranties
- Business customers. The service is provided "as is" and "as available". To the extent the law allows, we give no warranties other than those in these terms, for example that the service is fit for a particular purpose or that its output is accurate.
- Consumers. You have the legal guarantee that the service conforms to the agreement. If it does not, you have the remedies the law gives you, such as having it brought into conformity, a price reduction or ending the agreement.
18. Liability
Business customers. To the extent the law allows:
- our total liability arising from or relating to this agreement, whether in contract, tort or otherwise, is limited to the amounts you paid us in the 12 months before the claim;
- we are not liable for indirect or consequential damage, including lost profits, revenue or savings, loss of goodwill, business interruption, loss or corruption of data, or damage caused by relying on AI output without checking it;
- we are not responsible for third-party services that you connect to Recall, such as your AI clients, MCP clients and webhook endpoints.
These limits do not apply to damage caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) on the part of us or our management, or to liability that cannot be limited by law.
Consumers. The limits above do not apply to you. We are liable to you as the law provides.
19. Indemnity by business customers
If you are a business customer, you indemnify us against claims by third parties, including your end users, and against the reasonable costs of defending them, to the extent the claim arises from your content, from your use of the service in breach of these terms or the law, or from your failure to meet your obligations as a controller. This does not apply to the extent the claim is caused by our breach of these terms or the DPA. We tell you about such a claim promptly, let you lead the defence where that is reasonable, and do not settle it without your consent, which you will not refuse unreasonably.
20. Force majeure
Neither of us is liable for a failure caused by circumstances beyond its reasonable control (force majeure, "overmacht"), such as outages at our hosting, database, network, AI model or payment providers, failures of the power supply or the internet, attacks that could not reasonably be prevented, war, epidemics or government measures. If force majeure lasts more than 60 days, either of us may end the agreement, and we refund your unused purchased credit. Force majeure does not excuse payment obligations.
21. Changes to these terms
- We may change these terms and the DPA, for example for new features, new legal requirements or a change of provider. We announce material changes at least 30 days before they take effect, by email to account owners and on this page, and explain what changes.
- If you do not accept a change, you may stop using Recall and close your account before it takes effect, and get your unused purchased credit refunded (section 9). If you keep using Recall after that date, the new terms apply.
- Changes that only benefit you, or that a law or an authority requires at short notice, may take effect sooner.
- The date and version at the top show which version applies. Earlier versions are available on request.
22. General
- Transfer. You may not transfer your rights or obligations under this agreement without our consent. We may transfer the agreement to a company that takes over all or part of Recall's business. We tell you in advance; if you do not agree, you may end the agreement before the transfer and get your unused purchased credit refunded.
- Severability. If a provision of these terms is invalid or cannot be enforced, the rest remains in force, and the provision is replaced by a valid one that comes as close as possible to its purpose.
- Entire agreement. For business customers, these terms (including the DPA and the prices on our pricing page) and anything we agree in writing are the entire agreement on the service.
- No waiver. If we do not enforce a provision straight away, we do not give up the right to enforce it later.
- Notices. We send notices to the email address of the account owner. You can send notices to support@recallmem.dev.
- Survival. Provisions that by their nature continue after the agreement ends, such as those on liability, indemnity, confidentiality and governing law, continue to apply.
- Language. These terms are written in English. If we provide a translation, the English text prevails, unless mandatory consumer law says otherwise.
23. Governing law and disputes
- Dutch law applies to these terms and to the use of Recall. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
- Business customers. Disputes are submitted exclusively to the competent court of the Rechtbank Midden-Nederland (district court of Midden-Nederland), the Netherlands.
- Consumers. If you live in another EU country, you also keep the protection of the mandatory rules of the law of that country. You may bring a dispute before the competent court in the Netherlands or in the country where you live. We can only bring proceedings against you before the courts of the country where you live.
- Before going to court, please contact us at support@recallmem.dev so that we can try to solve the problem together.
